Consultations and Applications

10 Questions
What is the difference between a free inquiry and a paid consultation?

Free inquiries allow you to confirm by email, before engaging us, what we can help with and which service may suit you. If you need advice or a judgment tailored to your circumstances, we will direct you to a paid individual consultation. Simply sending an inquiry does not incur a consultation fee.

How do you handle consultation details and personal information?

We handle personal information provided during consultations in accordance with our Privacy Policy. Please let us know in advance if you have preferences concerning a nondisclosure agreement or how documents are shared.

How much does an individual consultation cost?

Consultations for entrepreneurs cost JPY33,000 for 60 minutes, including tax. Domestic and international tax consultations cost JPY55,000 for 60 minutes, including tax. If ongoing support or preparation of written materials is needed after the consultation, we will separately explain the scope and fees.

Can consultations be held online?

Individual consultations are available online or in person. Our representative and tax accountant, Kenji Yanagisawa, will speak with you directly. After you apply, we will arrange the date, time, and format.

How can I pay for a consultation?

You can apply and pay by card on each service page. If you prefer a bank transfer, please contact us by email. After your application, our office will contact you to arrange the date and explain how the consultation will take place.

Can I cancel a booked consultation?

Cancellations made by the day before the consultation are free. Same-day cancellations are nonrefundable, so please contact our office promptly if you need to make a change.

What should I prepare before a consultation?

Please briefly outline your current situation, what you want to achieve, and the main questions you wish to discuss. If you have relevant documents, such as contracts or tax returns, sharing them in advance will help us discuss specifics.

Do we sign an agreement when engaging your services?

For tax advisory and similar engagements, we confirm the scope, fees, and payment terms in a contract before starting work. For M&A, we enter into nondisclosure agreements, financial advisory agreements, or other agreements as appropriate. We discuss your preferences concerning contract terms in advance, although a separate written contract may not be used for a one-off tax consultation or similar engagement.

Do I need an ongoing advisory agreement after a consultation?

You are welcome to use a consultation on its own. If the initial consultation establishes a direction and you can proceed independently, the engagement may end there. If ongoing support is needed, we will explain the scope and fees.

Does the same company handle tax and management consultations?

Yanagisawa International Tax & Accounting Office handles tax consultations, ongoing tax advisory work, and other tax accountant services. Yanagisawa Research Institute Co., Ltd. (YCO) handles management and financial consulting outside tax, including M&A, business planning, and equity planning. We will explain the responsible entity and contractual scope according to your needs.

02

Entrepreneur support

10 Questions
Can I consult you even if my business idea is not fully developed?

Yes. You can consult us before starting a business. We will ask what you want to achieve and where you are uncertain, then work with you to organize how to begin and the order of the next steps.

Can you help me decide whether to start as a sole proprietor or incorporate?

We can discuss options such as a sole proprietorship, a stock company, or a limited liability company, and when to incorporate. We will consider your business, any co-founders, and funding plans to identify an approach suited to you.

Do you also support side businesses and small ventures?

Building a large company is not the only reason to start a business. We will also discuss your preferred way of working and living, and consider how to start, including testing the idea on a small scale.

Can you create my business plan documents from scratch for me?

Our support starts with the entrepreneur's own ideas and helps refine how they are presented and the reasoning behind the figures. We will ask what you want to achieve and discuss the scope of support based on the current state of your materials.

Can you review a pitch deck that is still in progress?

Yes. You can consult us with work-in-progress materials. We will examine whose problems your business solves and whether the strengths of the business and team come across, then consider the presentation and structure.

Can you help me choose between debt and equity financing?

We consider financing options based on your business stage, intended use of funds, and cash flow. We do not assume equity financing is the only option; we also consider loans and potentially available subsidies.

Can you advise on co-founders' ownership percentages and future fundraising?

We can discuss equity planning, including founders' and investors' shareholdings, stock options, and future funding rounds. We consider not only the amount to raise now, but also how it relates to later hiring and growth plans.

Can I engage you solely to introduce VCs or investors?

We do not offer investor introductions as a standalone service. During an individual consultation, we will learn about your business and current situation, then consider the preparations needed and the possibility of connecting you with investors.

Will a consultation lead to an investment?

A consultation or support agreement does not guarantee investment or successful fundraising. Our representative and tax accountant, Kenji Yanagisawa, may consider investing, but investment decisions are made separately from consultation and support services.

Can I leave all accounting work to you after starting my business?

Our domestic tax advisory service assumes that you will establish a system for keeping books within your company. This does not mean the business owner must personally continue entering transactions. In addition to day-to-day tax matters and support with year-end accounts and tax returns, we will explain the support and fees needed to establish in-house bookkeeping.

03

Tax and Accounting

15 Questions
What can I discuss in a domestic tax consultation?

You can discuss tax questions specific to your circumstances, including new transactions, incorporation, inheritance, and tax audits. We first ask about your situation and objectives, then identify the issues to check and the next steps.

Can I get an opinion separate from that of my current tax accountant?

We also provide second opinions without requiring you to change your tax accountant. We will review the explanations you have received and relevant materials, then consider the assumptions behind the advice and other options.

What do domestic tax advisory services include, and what do they cost?

Assuming your company maintains its own books, we provide ongoing support with day-to-day tax matters, year-end accounts, and tax returns. For businesses exempt from consumption tax, monthly fees start at JPY33,000 and annual year-end accounts and tax return fees at JPY264,000. For consumption-taxable businesses, monthly fees start at JPY55,000 and annual year-end accounts and tax return fees at JPY440,000. All amounts include tax. We provide a quote based on business size and scope. Separate engagements, such as tax audits, incur additional fees.

Will Mr. Yanagisawa handle every consultation under an advisory agreement?

Our staff handle routine work, while our representative and tax accountant, Kenji Yanagisawa, handles important tax consultations. We establish an arrangement for ongoing consultation suited to your engagement.

Can I engage you only to prepare a tax return or notification?

We prepare and review tax documents under ongoing advisory agreements and do not accept one-off document-preparation engagements. If you wish to discuss required notifications or an appropriate response, you can use a paid individual consultation.

Can you advise on invoice registration and consumption tax elections?

Before registering or choosing a tax treatment, you can consult us on the implications of planned sales, purchases, and capital expenditure. Specific judgments, including whether and when notifications are required, are made during an individual consultation or advisory engagement.

Should I consult you before entering a contract or making a major capital investment?

Please consult us before proceeding whenever possible. We will ask about the planned transaction and timing, then identify the options and procedures to check in advance.

Can I consult you before an inheritance occurs?

You can consult us both on preparing for an inheritance and on handling matters after one occurs. We will ask about your family and assets, then identify the tax matters to check and the order in which to address them.

Can I engage you for a tax audit without an advisory agreement?

We accept standalone tax audit engagements from clients without an ongoing advisory agreement. We will ask about the audit schedule, taxes and years covered, and current situation, then explain the scope and fees.

Can I consult you if a tax audit has already started?

Yes. Please tell us the current situation even if the audit is already underway. We will review the issues raised and relevant documents, then consider what to explain and how to respond.

Can I consult you if I disagree with the tax office's findings?

We will review the findings, the history of the transactions, and relevant documents, then organize the facts and supporting grounds. Where necessary, we will consider an administrative appeal or coordination with a lawyer, starting with the responses available at the current stage.

What is the difference between a tax consultation, a discussion paper, and a tax opinion?

A tax consultation involves hearing about your situation and identifying the issues and next steps during the session. A discussion paper organizes issues and options while a matter is still under consideration. A tax opinion sets out a professional view in writing based on the facts and supporting grounds. Preparation of written materials is not included in the consultation fee; we will confirm the purpose and scope before providing a fee proposal.

Can you prepare a document organizing the tax issues before a conclusion has been reached?

If you wish to organize issues and options while considering a matter, please discuss preparation of a discussion paper with us. We will ask what decision the document is intended to support and consider the research and analysis required.

Can you advise on checking with the tax authorities before proceeding?

We can discuss how to confirm the tax treatment of a planned transaction, including use of the advance inquiry system. We will ask about the transaction and your preparations, then consider whether the system may be available and identify the necessary documents.

Will a 60-minute consultation always produce a final conclusion?

During the initial consultation, we organize your situation, the issues, and the options, and suggest a direction for moving forward. If detailed document review or further research is needed, we explain what must be checked and how to proceed rather than forcing a conclusion during the session.
